1. Agreement & Acceptance

These Terms of Service and Client Agreement (“Agreement”) govern the use of 11AM Media’s website, digital services, consultations, development work, branding services, marketing solutions, and related offerings.

By accessing our website, requesting a quotation, signing a proposal, paying an invoice, approving work, or engaging 11AM Media in any manner (“Client”, “You”), you agree to be legally bound by these terms.

If you do not agree with these terms, you should not use our services.

11AM Media reserves the right to refuse service, decline projects, suspend work, or terminate services where necessary.


2. Definitions

Services refers to integrated digital solutions including website development, branding, digital marketing strategy, automation systems, consulting, and related support services designed to improve business performance and online presence.

Deliverables refers to agreed outputs including websites, designs, systems, campaigns, documents, or digital assets.

Project Scope refers to all work agreed in proposals, quotations, invoices, emails, or written communication.

Revision means reasonable adjustments to existing approved work and does not include entirely new concepts, redesigns, or additional scope.


3. Services Offered

11AM Media provides integrated digital growth and brand development services designed to help businesses build, improve, and scale their online presence.

Our services may include:

  • Website design and development
  • WordPress development
  • Branding and visual identity design
  • Digital marketing strategy and campaign support
  • Content strategy and creative production
  • Social media support and content distribution as part of integrated marketing strategies
  • Automation systems and workflow development
  • Lead generation systems
  • SEO implementation
  • Analytics and tracking setup
  • Consultation services
  • Website maintenance and support


4. Quotations & Scope of Work

All quotations, proposals, and pricing are based on the information available at the time of issue.

Quoted pricing applies strictly to the agreed scope.

Any work outside of scope may result in:

  • revised timelines
  • additional fees
  • separate invoices
  • scope adjustments

Examples include:

  • additional pages or sections
  • redesign requests
  • additional content requirements
  • functionality or integration changes
  • revisions beyond agreed limits

Any assumptions not confirmed in writing are not included in the project scope.


5. Client Responsibilities

Clients agree to provide all required materials including:

  • content
  • images
  • logos
  • access credentials
  • approvals
  • feedback

Delays in providing required materials may result in project delays.

11AM Media is not responsible for delays caused by missing information or late communication.

Projects delayed beyond 30 days may be paused and subject to reactivation or repricing.


6. Payment Terms

Deposits may be required before work begins.

No work will commence until payment is received and cleared.

Outstanding balances must be paid according to invoice terms.

Late payments may result in:

  • suspension of work
  • delayed delivery
  • restricted access

11AM Media retains ownership of all work until full payment is received.

Prices may be updated periodically due to operational costs, software changes, inflation, or business adjustments. Reasonable notice will be provided before changes take effect.


7. Refunds & Cancellations

Due to the custom nature of digital services:

All deposits are non-refundable once work has commenced.

Completed or partially completed work, consultations, strategy work, setup work, and digital deliverables are non-refundable.

Ongoing services require written cancellation notice.

11AM Media reserves the right to terminate services where clients:

  • fail to make payment
  • misuse services
  • engage in unlawful activity
  • abuse staff or systems
  • violate this Agreement

8. Revisions

Reasonable revisions are included where agreed.

Excessive revisions or changes that alter approved direction may incur additional costs.

Approval of work stages constitutes acceptance.


9. Intellectual Property

Ownership of final deliverables transfers to the client only after full payment.

11AM Media retains ownership of:

  • internal systems
  • frameworks
  • templates
  • processes
  • reusable code
  • methodologies

Drafts and unused concepts remain the property of 11AM Media.

Portfolio use is permitted unless otherwise agreed in writing.


10. Third-Party Platforms

Services may depend on third-party platforms including hosting providers, WordPress, plugins, APIs, Google services, Meta platforms, and other external tools.

11AM Media is not responsible for outages, changes, suspensions, pricing adjustments, or failures caused by third-party platforms.


11. Performance Disclaimer

11AM Media does not guarantee specific business outcomes including:

  • sales
  • leads
  • revenue
  • rankings
  • engagement
  • platform approvals

Results depend on multiple external factors beyond our control.


12. Warranties Disclaimer

Services are provided on an “as is” and “as available” basis.

No warranties are made regarding uninterrupted service, compatibility, or specific outcomes.


13. Limitation of Liability

To the fullest extent permitted by law, 11AM Media is not liable for:

  • indirect damages
  • loss of revenue
  • business interruption
  • data loss
  • reputational damage

Total liability is limited to the amount paid for the specific service in question.


14. Indemnification

Clients agree to indemnify 11AM Media against claims arising from:

  • client-provided content
  • misuse of services
  • legal violations
  • third-party disputes
  • inaccurate information provided by the client

15. Chargebacks & Disputes

Chargebacks after service delivery may constitute breach of agreement.

11AM Media may provide documentation as evidence during disputes.

Services may be suspended during investigations.


16. Force Majeure

11AM Media is not liable for delays or failures caused by events outside reasonable control including power failures, internet outages, natural disasters, cyber incidents, or governmental restrictions.


17. Governing Law

This Agreement is governed by the laws of South Africa.

Disputes will first be addressed through informal resolution before legal action.


18. Updates to Terms

11AM Media may update these Terms from time to time.

Continued use of services constitutes acceptance of updated Terms.
